Terms of Service

1. Agreement to Terms

By accessing or using the services provided by CLAWVRR, a product of Epic Advisory Group LLC ("Company," "we," "us," or "our"), including our website at CLAWVRR.com and any related services, software, or tools (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Services.

These Terms constitute a legally binding agreement between you ("Client," "you," or "your") and the Company. You represent that you have the legal authority to enter into this agreement on behalf of yourself or the entity you represent.

2. Description of Services

CLAWVRR provides custom AI automation services using the Model Context Protocol (MCP) standard. Our Services include but are not limited to:

• Design, development, and deployment of custom MCP servers tailored to your business operations
• AI-powered tool development (tool calls, skill files, and agent configurations)
• Integration with existing business systems and third-party platforms via secure APIs
• Ongoing monitoring, optimization, and support through monthly retainer agreements
• Bearer token-authenticated access to hosted MCP servers on our secure infrastructure
• Client portal access for token management, billing, and analytics

3. Fee Structure & Payment

One-Time Setup Fee: Covers initial research, analysis, custom MCP server design, development, testing, deployment, and team training. This fee is quoted per project based on complexity and scope.

Monthly Retainer: Covers hosting of your MCP server(s) on our secure infrastructure, bearer token access, ongoing monitoring, optimization, updates, support, and continued access to your AI tools. Failure to maintain an active retainer will result in suspension of MCP server access and revocation of bearer tokens.

Payment terms are net-30 for setup fees unless otherwise agreed in your Statement of Work (SOW). Monthly retainers are billed on the 1st of each month and due within 7 days. We accept wire transfer, ACH, and major credit cards.

4. Bearer Token & Access Control

Access to your deployed MCP server(s) is controlled via bearer authentication tokens. You agree to:

• Keep your bearer tokens confidential and not share them with unauthorized parties
• Immediately notify us if you suspect unauthorized access or token compromise
• Not attempt to reverse-engineer, decompile, or extract source code from MCP servers
• Use the Services only for lawful business purposes consistent with your SOW
• Not resell, sublicense, or redistribute access to your MCP tools without written consent

We reserve the right to revoke tokens and suspend access if payment is overdue by more than 14 days, if Terms are violated, or if we detect unauthorized or abusive usage patterns.

5. Intellectual Property

Our IP: The CLAWVRR platform, core MCP engine, proprietary algorithms, system architecture, and deployment infrastructure remain the exclusive property of Epic Advisory Group LLC.

Your IP: All business data, configurations, and outputs generated by your custom MCP tools remain your property. We claim no ownership of your data.

Custom Work: Custom tool definitions (tool calls), skill files (skills.md), and agent configurations (agent.md) developed for your deployment are licensed to you for use with an active retainer. Upon termination, these files may be provided to you at our discretion.

6. Service Level Agreement (SLA)

For Professional and Enterprise tier clients, we guarantee 99.5% uptime for hosted MCP servers, measured monthly. Scheduled maintenance windows (communicated 48 hours in advance) are excluded from uptime calculations.

7. Data Security

We take security seriously. All data in transit is encrypted with TLS 1.3. All data at rest is encrypted with AES-256. Our infrastructure runs on SOC 2 Type II certified cloud providers. For full details, see our Security Page.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL EPIC ADVISORY GROUP LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF THE SERVICES.

Our total aggregate liability shall not exceed the total fees paid by you in the twelve (12) months preceding the claim.

9. Termination

Either party may terminate this agreement with 30 days written notice. Upon termination: (a) all bearer tokens will be revoked; (b) MCP server access will be suspended; (c) you may request an export of your business data within 30 days; (d) any outstanding fees remain payable.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. Any disputes arising from these Terms shall be resolved through binding arbitration in California.
